Terms of Use / Licensing Agreement
Real Estate Photography and Media License Agreement
This License Agreement ("Agreement") is entered into by [Client] ("Licensee") and Luxury Listing Media ("Licensor") for the property located at [FullAddress]. Acceptance of this Agreement is confirmed by Licensee through the selection of a specific acceptance button located outside of this document, either above or below it, at the time of checkout.
Grant of License: Luxury Listing Media LLC grants Licensee a non-exclusive, non-transferable license to use the provided real estate photos, videos, drone photography & videography, 3D tours, and floorplans (collectively, "Media") solely for marketing and selling [FullAddress] (the "Property").
Scope of Use: The Media may be used for advertising, marketing, and promotion of the Property across various media. This license is specific to the Property and does not extend to other listings or commercial uses.
Ownership and Copyright: The Media remains the intellectual property of Luxury Listing Media LLC. Licensee acquires no additional rights beyond those expressly granted in this Agreement.
Payment Terms: The Media must be paid for within 48 hours of delivery via our online payment system. Failure to complete payment within this timeframe may result in the revocation of the license granted under this Agreement.
Automatic Payment Authorization: In the event of non-payment within the specified 48 hours, Luxury Listing Media LLC reserves the right to process payment using the credit card on file with the Licensee, if such a card is available.
Hold-Harmless Clause: Licensee agrees to hold Luxury Listing Media LLC harmless from any claims, damages, losses, or liabilities arising from the use of the Media, including but not limited to delays in delivery or unavailability of the Media.
Prohibited Uses: Licensee shall not alter, sell, rent, lease, or sublicense the Media. The Media is limited to marketing the Property.
Duration: The license is effective until the Property is sold, leased, or no longer actively marketed by Licensee.
Credit and Attribution: Licensee agrees to credit Luxury Listing Media LLC where feasible.
Indemnification: Licensee agrees to indemnify Luxury Listing Media LLC against claims arising from improper use of the Media.
Termination: The Agreement and license may be terminated by Luxury Listing Media LLC due to non-compliance. Upon termination, all use of the Media must cease.
Governing Law: This Agreement is governed by the laws of the city and state that the media is taken. These locations Boise, Idaho and Denver, Colorado.
Entire Agreement: This document constitutes the entire agreement, superseding all prior agreements.
Acceptance of Terms: Licensee must confirm their agreement to these terms and conditions by selecting the designated acceptance button located either above or below this document during the checkout process.
